Spin-a-Recipe (“we,” “us” or “our”)—Spin-a-RecipeSM LLC (Limited Liability Company).

Member (“you”, “your”)—Someone who has subscribed to Spin-a-RecipeSM for a quarterly or yearly membership. Members have full access to all website features and benefits for the period of their membership term.
Visitor (“you”, “your”)—Someone who is just browsing the website, but has not yet chosen to become a Member.� Visitors may try the Demo on the Home Page and have access to some features of the website, but do not have full access to all features and benefits.
User (“you”, “your”)—A Visitor or Member.

Your use of this website means that you hereby agree that you’ve read and understood the Spin-a-Recipe Privacy Policy and these Terms, and that you have the capacity and authority to provide required Personal Information, as defined in the Privacy Policy, and agree to be bound by these Terms.

Spin-a-Recipe reserves the right to modify these Terms at any time, by placing a revised version on this website. It will take affect on the date the new Terms appear.� Spin-a-Recipe suggests that you visit this page from time to time for any such changes. Continuing to use this website after any change in these Terms automatically means that you accept these changes. If you have any questions about these Terms, please contact Spin-a-Recipe.

Access to and use of the website and the information therein shall not be deemed to be an explicit or implicit grant to any User of a license. Any rights not expressly granted herein are reserved.

Minors
This website is not designed for, nor is it intended to be used by, anyone considered, under the law, to be a minor.� Depending on the country, jurisdiction and application, this age may vary, but is usually a person under the age of 18, 20 or 21. Therefore, anyone under the age of majority should not become a member of this website nor provide any Personal Information, as defined in the Spin-a-Recipe Personal Privacy Policy. If a parent or guardian of a minor child chooses to have that child use this website, the parent or guardian shall become a User, and will thereafter assume all legal responsibility.

Become a Member
If you decide to become a Member, you can choose a 6-month membership or a 18-month membership. The price of each membership period is posted on the website. All monetary transactions will be done on PayPal's website. None of your financial information is available to Spin-a-Recipe. Your credit card will not be charged until you have completed the transaction on PayPal's site. NO REFUNDS ARE PROVIDED.

Reminder: By choosing the 18-month membership, a percentage of the profits will be donated to the Heifer International charity. You'll be helping those less fortunate put food on their tables.

User Responsibilities
As a User. you are responsible for providing full, true, complete, and accurate information to Spin-a-Recipe and to PayPal, and for all use, activity, and charges (“activity”) associated with or arising from your membership, including any damaging activity, whether or not such activity was authorized by you (eg, use by minors or non-members). Use of the Spin-a-Recipe website is reserved for you only, as well as for your immediate family members living in the same household, provided that: (a) these family members have read and agree to be bound by the Privacy Policy and these Terms; (b) the website cannot be simultaneously used by more than one person at a time; and (c) you agree to be responsible for assuring that the Privacy Policy and Terms are adhered to those family members.

You will make every attempt, within reason, to safeguard and maintain the confidentiality of your membership, and will promptly report any changes to any of your Personal Information. You are prohibited from using the Spin-a-Recipe website or any recipes created on it in any commercial manner whatsoever, without the written permission of Spin-a-Recipe . Any breach of any portion of these Terms, or use of the website in violation of any applicable law or regulation, will be cause for termination of your membership. None of the foregoing limits any other legal, equitable, or contractual rights available to Spin-a-Recipe . Should you become aware of any improper use of your membership, you should contact Spin-a-Recipe as soon as possible.

Password
When you become a User, you are required to create a password, which may be modified at any time. That password shall not violate any third party's rights or be offensive, improper, or inappropriate. If Spin-a-Recipe determines, in its sole discretion, that your password is inappropriate for any reason, it may delete that password and/or limit or terminate your access to the website.

Your password is for your personal use only, and you agree to keep it secret and not to share it with anyone (except as expressly allowed under these Terms). Should you become aware of any improper use of your password, you should contact Spin-a-Recipe as soon as possible.

Membership Fee
Spin-a-Recipe reserves the right to change, at any time and for any reason, the fee you are charged for use of this website and any functions, products or services, though not usually during the term of your current membership period. By using the website or any of its functions, products or services, for which a fee is charged, you agree to pay those fees. If you do not wish to continue to pay those fees, you must Unsubscribe, as set forth below.

Membership and all others fees (including, but not limited to, any applicable federal, state and local taxes) will be billed automatically to the credit card you provided to PayPal or to your PayPal account. If the Personal Financial Information you provided when you became a member should change (including, but not limited to, your billing address or other pertinent contact information), or your credit card is no longer valid, you should notify PayPal immediately. If any fee billed to your credit card should be declined, for any reason, Spin-a-Recipe reserves the right to decline or cancel your membership. Any dispute in this regard should be taken up directly with PayPal.

Intellectual Property
Spin-a-Recipe and www.spinarecipe.com are servicemarks of Spin-a-Recipe , and may not be copied, imitated or used, in whole or in part, without the prior written permission of Spin-a-Recipe. The Spin-a-Recipe logo, design, graphics, page headers, button icons, windows, software, scripts, text, information, and the like, as well as the selection and arrangement thereof (collectively called “Content”) are the proprietary property of Spin-a-Recipe and may not be copied, imitated, or used, in whole or in part, without the prior written permission of Spin-a-Recipe .

Recipes you print become your property, but the Spin-a-Recipe logo printed on each such recipe shall be retained, to indicate the source of the recipe. You may make photographic or electronic copies of a recipe (eg, for friends or relatives), but again, the Spin-a-Recipe logo shall be copied as well. Such printed information is intended for your use only, and shall not be used for any commercial enterprise—including, but not limited to copying, distributing, disclosing, selling, publishing, broadcasting, or circulating such information for your personal gain or information sharing.

Any reproduction of any part of the Spin-a-Recipe website shall be for the sole purpose of non-commercial description or advertising purposes, provided that all copyright or other proprietary notices shall be kept intact. Any other use of Content, including any commercial use, reproduction for purposes other than described herein, modification, distribution, republication, display, or performance, without the prior written permission of Spin-a-Recipe, is strictly prohibited and may violate copyright, trademark, and other laws. All rights not expressly granted herein are reserved to Spin-a-Recipe.

User-Submitted Recipes and Other Information
If you submit a recipe to Spin-a-Recipe, you are asked to verify that it (or something close) does not already exist on the website. Furthermore, Spin-a-Recipe does not, and will not knowingly, put recipes on its website that are copied from other sources (eg, cookbooks, magazines, newspapers or other websites).

Each submitted recipe will be reviewed and tested for appropriateness to the Spin-a-Recipe concept, and each submitter will be notified regarding the outcome, which is the sole discretion of Spin-a-Recipe. Since this might take some time, you are asked to be patient, and submission of a recipe is no guarantee that it will be used.

If your submitted recipe or other item is used, Spin-a-Recipe may include your name, written out (eg. Jane Doe), shortened (eg., Jane D.) or just your initials (eg. JD) as you choose, and other safe-to-post information (eg, a short biography). Therefore, you must include, as a minimum, your full name, phone number, and e-mail address in case we need to contact you with any questions about your submitted item or items. However, please be aware that only your name and bio that you have approved formus to use—will be made public.

If you submit a recipe or other item, which may or may not include associated material or attachments (eg, pictures, images, drawings, videos, audios), or any other type of information or content (eg, reviews, comments, feedback and suggestions, ideas and concepts), whether submitted online or through other channels, whether solicited by Spin-a-Recipe (or any of its agents) or not, you hereby grant to Spin-a-Recipe an irrevocable, non-exclusive, perpetual, worldwide, royalty-free right and license to use, display, reproduce, publish, distribute, and otherwise commercially and non-commercially use such item or items in any manner or medium now existing or hereafter developed (including but not limited to print, film or electronic storage devices), and to modify, make derivative works of, and sublicense such item or items, without compensation of any kind to you or any third party. Furthermore, you hereby grant to Spin-a-Recipe an irrevocable, non-exclusive, perpetual, worldwide, royalty-free right and license to any copyright, trade secret, trademark, or other intellectual property rights therein. You also hereby grant Spin-a-Recipe the right to use your name in connection with your submission, as described above.

You hereby represent and warrant that: a) you have all necessary rights, powers and authority to submit and grant the license for the item or items set forth above, and b) the item or items you submit does not violate, misappropriate or infringe on any copyright, trade secret, trademark or other intellectual property right of any third party. Submission of any information, regardless of the purpose or means used to submit it, which might give rise to any civil or criminal liability under applicable laws or regulations, or which otherwise might be in conflict with these Terms and Conditions or the Privacy Policy, is strictly prohibited. You agree that you will take, at your expense, any further action (including, but not limited to, executing any affidavits or other documents) reasonably requested by us to effect, perfect and confirm the above granted license. Spin-a-Recipe reserves the right to review all submitted information prior to putting it on the site and to remove any submitted information for any reason, at any time, without prior notification.

Spin-a-Recipe "Staying in Touch" Links
If you use one of the website "Staying in Touch" links ("links", eg. Twitter, LinkedIn, Facebook, blog), you are solely responsible for what you communicate (the "content"), the consequences of posting the content, and your reliance on any information you find in the site accesed through these links. Spin-a-Recipe is not responsible for the consequences of any content or information in any site accessed through these links.


In consideration of being allowed access to these links, you herby agree that any of the following actions shall constitute a material breach of these Terms and Conditions:

  • Using one of the links for any purpose that is in violation of local, state, national or international laws;
  • Posting material that infringes on the intellectual property rights of others or on the privacy or publicity rights of others;

  • Terminate a user’s access to any or all links and/or the Spin-a-Recipe website upon any breach of these Terms and Conditions.
  • Monitor, edit and/or disclose any content or information in any linked-to site.
  • Edit or delete any content or information posted on the Spin-a-Recipe website, regardless of whether such content or information violates these standards.
Spin-a-Recipe has no liability or responsibility to users of the Spin-a-Recipe website or any other person or entity for performance or nonperformance of the aforementioned activities.

Removal and Disclosure
Spin-a-Recipe reserves the right, at its sole discretion, to remove, delete or modify any information on this website at any time and for any reason. Spin-a-Recipe may or may not disclose, on the website or by individual e-mail, such removal or modification, depending on the particular circumstances.

PayPal Content and Services
In order for you to become a User, Spin-a-Recipe provides a link to Paypal in order that they may collect your credit card and other relevant Personal Financial Information. Spin-a-Recipe does not have access to, monitor, control or take any responsibility for the information on that website. Therefore, your use of that website is at your own risk.

Renewal
At the end of your current membership period, your membership will automatically be renewed. This process ensures that there is no interruption in your membership benefits. Your credit card will be charged the then-current membership fee, using your credit card information on file at PayPal. Should you decide not to renew, you must unsubscribe on the PayPal website or contact Spin-a-Recipe prior to your current membership expiration date.

Unsubscribing
You may unsubscribe at any time by going to your PayPal account, stipuatling that you want the automatic payment to be stopped. Do this at least one week before your membership is to renew. THERE ARE NO REFUNDS OR PRORATING OF PURCHASE PRICE if you should unsubscribe before your membership period expires.

The Spin-a-Recipe website may contain information, products, and/or services offered by certain third parties, either through advertisements on the website or through hyperlinks (“links”) to third-party websites. Links to such third parties, and their information, products, and/or services are provided solely as a convenience to you.
